In terms of Clause 15.4 of the Debenture Trust Deed, the newly appointed Trustee, ‘the new trustee shall, by notice in writing to the company, signify Its acceptance of the appointment and shall thereafter be vested with all the rights, powers, authorities and privileges and be subject to all the trusts and obligations set out in this deed, as if it has originally been appointed trustee, other than any liability for breach of trust by any former trustee. The provisions of clause 15.1 and 15.2 shall apply to every successive trustee.’

 

With reference to the Special Resolutions that was passed on the ordinary meeting dated 18 January 2022, I sent the acceptance letter confirming my appointment as Trustee of the Debenture Trust as can be seen in a copy of the letter attached.
