Complaint lodged with the CIPC (CoR135.1) – Companies Act transgressions (1 July 2026)

As referenced in the Memorandum submitted to the Companies Tribunal (“Tribunal”) on 30 June 2026, I lodged a second formal complaint with the Companies and Intellectual Property Commission (“CIPC”) on 1 July 2026 regarding, in my professional opinion, several contraventions of the Companies Act committed by the Board of Directors of the Nova Group of Companies.
On face value, it may appear that this is a duplication of another “Complaint lodged with the CIPC (CoR135.1)” posted on my website. Please note that this is not the case. The two complaints are entirely separate and relate to distinct matters:
18 June 2025, and
1 July 2026
Each complaint addresses different issues and was submitted at different times, and both are therefore published to ensure full transparency and an accurate regulatory record.

What is a CoR135.1?
A CoR135.1 is the prescribed statutory form used to lodge an official complaint with the CIPC alleging that a company, its directors, prescribed officers, or related persons have contravened the Companies Act.
It provides a formal mechanism through which stakeholders—including shareholders, creditors, trustees, and any affected party—may request the CIPC to investigate alleged misconduct, non‑compliance, or statutory breaches.
Purpose of a CoR135.1
To report non‑compliance with the Companies Act or Companies Regulations.
To request that the CIPC investigate the alleged contravention.
To provide supporting facts, evidence, and documentation relevant to the complaint.
To trigger potential regulatory action, which may include directives, compliance notices, or referral of the matter to the Companies Tribunal.
