Complaint lodged with the CIPC (CoR135.1) – Non registration of covering bond in Flora Centre Investments (Pty) Ltd in favour of the Flora Debenture Holders
As referenced in the Memorandum prepared for the Flora Debenture Holders, who stand to lose 100% of their investment due to the non‑registration of the covering bond (NON-REGISTRATION OF THE COVERING BOND BY NOVA PROPERTY GROUP INVESTMENTS (PTY) LTD IN FAVOUR OF THE FLORA DEBENTURE HOLDERS), I indicated that I have submitted a formal complaint to the CIPC in the form of a CoR135.1.
The CIPC has now acknowledged receipt of the complaint. Accordingly, please find below a copy of the complete complaint submitted to the CIPC.
To assist in understanding the nature and purpose of a CoR135.1 form, the see below some explanatory notes:
What is a CoR135.1?
A CoR135.1 is the prescribed statutory form used to lodge an official complaint with the CIPC alleging that a company, its directors, prescribed officers, or related persons have contravened the Companies Act.
It provides a formal mechanism through which stakeholders—including shareholders, creditors, trustees, and any affected party—may request the CIPC to investigate alleged misconduct, non‑compliance, or statutory breaches.
Purpose of a CoR135.1
To report non‑compliance with the Companies Act or Companies Regulations.
To request that the CIPC investigate the alleged contravention.
To provide supporting facts, evidence, and documentation relevant to the complaint.
To trigger potential regulatory action, which may include directives, compliance notices, or referral of the matter to the Companies Tribunal.
